Terms of Service

1. Acceptance of Terms
By accessing or using the Cecom website, platform, APIs, SDKs, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service. These Terms form a binding legal agreement between you (either an individual or the entity you represent) and Cecom.
2. Eligibility
You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization. The Service is intended for business and commercial use in the mobile advertising industry.
3. Account Registration
To access certain features of the Service, you must register an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Description of Services
4.1 Publisher Services
For app developers and publishers, Cecom provides an SDK for integrating ad placements into mobile applications, a dashboard for managing demand sources and floor prices, ad performance reporting, and revenue settlement coordination. Specific ad formats, placement configurations, and commercial terms are defined in a separate commercial agreement.
4.2 Advertiser Services
For advertisers and agencies, Cecom provides campaign configuration tools, creative management, targeting and delivery optimization, performance reporting, and budget pacing controls. Specific campaign objectives, billing models, and reporting requirements are defined in a separate commercial agreement.
5. Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law or regulation
- Engage in fraudulent activity, including generating fake impressions, clicks, or conversions
- Interfere with or disrupt the Service, its servers, or networks
- Reverse-engineer, decompile, or attempt to extract source code from the SDK or platform
- Upload malicious code, malware, or content that infringes third-party rights
- Use automated means (bots, scrapers) to access the Service without our express permission
- Impersonate another person or entity, or misrepresent your affiliation
- Resell, sublicense, or redistribute the Service without authorization
6. Intellectual Property
All rights, title, and interest in and to the Service — including the platform, SDK, APIs, documentation, branding, and all underlying technology — are owned by Cecom or its licensors. These Terms do not grant you any ownership rights. You retain ownership of your content and data; by using the Service, you grant us a limited license to process your data as necessary to provide the Service.
7. Fees and Payment
Fees for the Service are specified in your commercial agreement or insertion order. Unless otherwise agreed, invoices are issued monthly and payable within 30 days. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law. All fees are exclusive of applicable taxes, which are your responsibility. Revenue share, CPC, CPM, CPA, and other billing models are calculated based on Cecom's measurement data, which will be made transparently available in your dashboard.
8. Confidentiality
Each party agrees to protect the other's confidential information using the same degree of care it uses for its own confidential information, but no less than reasonable care. Confidential information includes technical documentation, business plans, pricing, customer data, and any information marked as confidential. This obligation survives termination of these Terms for three years.
9. Data and Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for obtaining any necessary consents from end users for data collection and processing through your applications, as required by applicable privacy laws.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Cecom shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or business opportunities — arising out of or related to these Terms or the Service, whether based on contract, tort, or any other legal theory. Cecom's total aggregate liability for any claims shall not exceed the fees paid by you to Cecom in the twelve months preceding the event giving rise to the claim, or USD $10,000, whichever is greater.
11. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied. Cecom does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Cecom, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, your violation of third-party rights, or your breach of applicable law.
13. Term and Termination
These Terms remain in effect until terminated by either party. You may terminate by ceasing all use of the Service and closing your account. We may suspend or terminate your access at any time for breach of these Terms, fraudulent activity, or extended inactivity. Upon termination, your right to access the Service ceases immediately, but provisions that by their nature should survive will survive — including ownership, confidentiality, limitation of liability, and indemnification provisions.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Non-material changes take effect upon posting. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the People's Republic of China, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, the dispute shall be submitted to binding arbitration in Beijing, China, in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
16. General Provisions
These Terms constitute the entire agreement between you and Cecom regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right does not constitute a waiver. You may not assign these Terms without our prior written consent. Notices to you may be sent via email to the address associated with your account.
